Torbay and South Devon NHS Foundation Trust - Board of Directors

Description

This is a permanent statutory body set up under NHS Service Act 2006 (referred to as Council or Governors not Governance Board).  It is also part of the Trust's Constitution to have a Governance Board.

 

The key statutory roles include:

 

a)         to appoint or remove the Chairman and the other Non-Executive Directors;

 

b)         to decide the remuneration and allowances, and the other terms and conditions of office, of the Chairman and the other Non-Executive Directors;

 

c)         to appoint or remove the Trust's auditor(s) at a general meeting of the Board;

 

d)         to be presented with the annual accounts, any report of the auditor on them and the annual report;

 

e)         to approve the appointment (by the Non-Executive Directors) of the Chief Executive;

 

f)          to give the views of the Governance Board to Directors for the purposes of the preparation (by the Directors) of the document containing information as to the Trust's forward planning in respect of each financial year to be given to the independent Regulator; and

 

g)         to consider the annual accounts, any report of the auditor on them and the annual report.
